The Housing Authority of the City of Santa Rosa met in regular session at 1:30 p.m. on the 26th day of Month, 2011, in the Council Chamber, City Hall, 100 Santa Rosa Avenue, Santa Rosa, California

Present:  Chairman Lemke, Commissioners Arnone, Gonzales, and Harris.  Absent:  Commissioners Burke, Castro-Herrera, and Olsen.  Also in attendance Economic Development and Housing Director, David Gouin, Economic Development and Housing Manager Nancy Gornowicz, Program Specialist Kelli Kuykendall, Legal Counsel Molly Dillon, and Recording Secretary Shirley Stevens.

Kai Nissley, Chief Operating Officer, Santa Rosa Community Health Centers gave a brief update on the status of the Brookwood Site.

REQUEST TO APPROVE A CHANGE TO THE OWNERSHIP STRUCTURE AND APPROVE THE SUBORDINATION OF THE HOUSING AUTHORITY’S LOAN FOR COMMUNITY HOUSING SONOMA COUNTY AND VIETNAM VETERANS OF CALIFORNIA’ S WEST HEARN AVENUE VETERANS HOUSING PROJECT, LOCATED AT 2149 WEST HEARN AVENUE

On October 22nd, 2007, the Housing Authority approved a loan request in the amount of $245,407 to assist Community Housing Sonoma County (CHSC), formerly known as Community Housing Development Corporation of Santa Rosa (CHDCSR), and Vietnam Veterans of California (VVC) with the acquisition of the property located at 2149 West Hearn Avenue, known as “West Hearn Avenue Veterans Housing Project” (Project), an existing, vacant residential care facility for the development of a twelve-bed transitional housing facility for homeless veterans.  VVC learned through the State of California Department of Housing and Community Development’s (HCD) application process for Emergency Housing and Assistance Program Capital Development (EHAPCD) funds, and after receiving funding approvals from the Housing Authority and the County of Sonoma, that EHAPCD regulations prohibited VVC from being vested in the property prior to execution of the State’s Standard Agreement (loan agreement).  In order to secure financing for the Project and to meet EHAPCD regulations, Housing Authority staff approved the execution of a Release and Assumption Agreement which assigned VVC’s obligations under the Housing Authority loan documents to CHSC.  CHSC informed staff that VVC would go back on title upon execution of the State’s Standard Agreement, as originally contemplated.  VVC is no longer agreeable to take ownership of the property.  Under the proposed ownership structure, to keep the Project viable, CHSC is willing to remain the owner of the property and VVC will serve as the operator of the Project through a long-term leasehold interest.  In order for CHSC and VVC to close on the EHAPCD loan, the Housing Authority must approve the subordination request and the ownership change given that the ownership structure has changed from what the Housing Authority previously approved.  

Moved by Commissioner Arnone, seconded by Commissioner Gonzalez, carried 4-0-3-0 (Commissioners Burke, Castro-Herrera, and Olsen absent), to adopt and waive the reading of the text as follows:

RESOLUTION NO.  1528 ENTITLED:  RESOLUTION OF THE HOUSING AUTHORITY OF THE CITY OF SANTA ROSA APPROVING A CHANGE TO THE OWNERSHIP STRUCTURE AND APPROVING THE SUBORDINATION OF THE HOUSING AUTHORITY’S $245,407 LOAN TO THE STATE OF CALIFORNIA DEPARTMENT OF HOUSING AND COMMUNITY DEVELOPMENT’S $954,433 LOAN FOR COMMUNITY HOUSING SONOMA COUNTY’S AND VIETNAM VETERANS OF CALIFORNIA’S WEST HEARN AVENUE VETERANS HOUSING PROJECT, LOCATED AT 2149 WEST HEARN AVENUE, LOAN NO. 9033-1805-07.
